Wholesale Terms

These Wholesale Terms apply to every order placed with GINK LLC, a Wyoming limited liability company with its address at 30 N Gould St, Ste R, Sheridan, WY 82801, USA ("we", "us"), by a business customer ("Buyer"). By sending an order request, the Buyer accepts these terms.

1. Business customers only

We sell at wholesale to businesses that buy for resale or professional use. We do not sell to consumers through this website.

2. Orders and minimum quantity

The minimum order is 100 units per SKU, and quantities are ordered in multiples of 100. An order request sent through the website is not a binding contract. A contract is formed only when we send a pro-forma invoice and the Buyer pays it.

3. Prices

Prices on the website are wholesale prices per unit in US dollars, excluding shipping, taxes and duties. The final price, shipping cost and availability are stated on the pro-forma invoice. We may change website prices at any time; changes do not affect invoices already issued.

4. Payment

Orders are paid in full in advance, by bank transfer against the pro-forma invoice or by card through the payment link we send. We ship after payment has cleared. Bank and payment fees on the Buyer's side are paid by the Buyer.

5. Shipping and delivery

Orders to addresses in the United States are usually delivered within 3–5 business days after dispatch. Delivery times are estimates and are not guaranteed. Shipping outside the United States is quoted individually. Risk of loss passes to the Buyer when the goods are handed to the carrier, unless the invoice states otherwise.

6. Inspection and claims

The Buyer must inspect the goods on arrival and report visible damage, missing items or wrong items in writing within 7 days of delivery, with photos and the order number. For confirmed claims we will, at our choice, replace the goods, issue a credit or refund the affected items.

7. Returns

Because goods are sold at wholesale prices, undamaged goods cannot be returned unless we agree to the return in writing in advance.

8. Resale and trademarks

The Buyer may resell the goods in their original packaging. The brand names, logos and product images remain our property or that of our licensors. The Buyer may use them only to advertise the goods it bought from us and must not suggest that it is the brand owner or an exclusive distributor. The Buyer is responsible for complying with the laws, marketplace rules and product regulations that apply where it resells the goods.

9. Limitation of liability

To the extent permitted by law, our total liability for any order is limited to the amount the Buyer paid for that order, and we are not liable for lost profits or indirect damages.

10. Governing law

These terms are governed by the laws of the State of Wyoming, USA.
